The client is at all times responsible for the content of their site, including both text and images. If changes are required then reasonable notice must be given to GVA Web Design for the updates to be made. Updates will be done by GVA within 2 - 3 days of receipt, normally sooner.

COSTS

The cost of the web site project will be as laid out for our packages, or individual quote. If extra updates are required, the cost will be £15 per hour, minimum £7.50. Typing of text from paper format into your web site is included in the cost of the package, although it is preferred to be able to copy straight from a file provided in electronic format or an e-mail.

Any other additional work required will be charged at a cost of £15 per hour, minimum £7.50.

PAYMENT

Payment of the set up deposit is required prior to the commencement of work by GVA. At the time of the renewal of the site, payment of the renewal deposit is required before the server space will be renewed by GVA. Delay in making this payment could cause problems ultimately resulting in the web site being deleted by domain suppliers and GVA Hosting. 

This is particularly the case if renewal of the domain name is due as ample processing time is needed for this to happen.

GVA will not renew any web space without payment/written confirmation in the form of an official purchase order.

In case of immediately necessary work, where pre-payment is required but is not practical, payment should be made within 7 (seven) days of the receipt of an invoice from GVA Online.

In the case of non-payment, interest will be charged at 2% monthly on all unpaid invoices in excess of six months. GVA reserves the right to issue a notice of termination to customers in excess of 9 months in arrears and will enter all such details at www.unpaidinvoices.com. Legal action to recover money owed will also be considered.

A 7 day notice of termination will be sent in the case of continued non-payment. After the period of seven days, GVA reserves the right to delete the web site concerned.

WEB SPACE AND HOSTING

All sites designed and maintained by GVA Online Web Design are hosted with GVA Online WebHosting which is a division of GVA. By using our own hosting services we minimise the costs, and have more hosting flexibility and control over all website projects without using the services of a third party.

INDEMNITY

We will not be responsible for the content of websites or other material transmitted by us on your behalf. We reserve the right to require the editing or removal of material in respect of which a complaint is made by third parties or any competent authority, or which we reasonably believe may be the subject of complaint . We reserve the right to terminate the contract if we reasonably believe that the content of material exposes us to risk of such complaint or breach of legal requirements. You will indemnify us against any legal action or other costs incurred by us or claimed against us by reason of the content of material produced by you. This includes our reasonable charges for taking action under this clause, or complying with regulatory or other procedures.

SUITABILITY

We do not agree to warrant that the services provide a system fit for any particular purpose unless that purpose is specifically advised by you to us in writing and we have confirmed in writing that we are competent to warrant its suitability.

HEALTH & SAFETY

You are responsible for the safety of any premises on which we are required to work, for providing safe access and safe supplies of power and light and for the safety of any plant and equipment provided you by him and for ensuring that your employees or any person connected you do not endanger the health and safety of any operative carrying out the works on our behalf.

LIABILITY

In no event will Gary Vine Associates be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if Gary Vine Associates has been advised of the possibility of such damages. 

STATISTICS AND WEB VISITORS

Gary Vine Associates does not guarantee a large number of visitors to its sites and strongly recommends that the client markets their site around the internet and off line too. GVA will provide help and advice regarding the best ways to market a business on the internet as well as search engine submission.

COPYRIGHTS AND TRADEMARKS

The client represents to GVA and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Gary Vine Associates for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend GVA and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

LAW

This contract shall be governed by English Law and the English Courts shall have exclusive jurisdiction. This contract is not intended to confer rights on third parties.
